Item 1.01.

Entry into a Material Definitive Agreement.

Registrant has entered into an agreement with Miller Brewing Company ("Miller") pursuant to which certain of Registrant's beers may continue to be brewed at Miller's brewery located in Eden, North Carolina. This agreement will take effect on November 1, 2008, upon the expiration of Registrant's current contract with Miller.
